How to set up an SRL in Romania in 2026: a complete step-by-step guide

The short version: setting up an SRL online

If you don’t want to deal with documents, files and trips to the Trade Register (ONRC), you can start your limited liability company (SRL) online. You prepare the basic details, and the rest is simple. The legal part (the articles of association, the CAEN codes and the submission to the Trade Register) is done by a lawyer.

How it works:

  1. You leave us your contact details and we call you. Or you use the online company setup platform directly.
  2. You send the documents by email (ID card, registered office details, CAEN codes).
  3. The lawyer prepares the complete file. You only sign.
  4. The file is submitted to the Trade Register and you receive the company documents.

Cost: 599 RON (VAT included) + 152 RON Trade Register fees. It comes together with the accounting subscription. The first month of accounting (49 €) and a consultation session (30 €) are free. Duration: Up to 10 working days. 100% online: no trips to the counter.

The full version: how to set up an SRL yourself (or with another service)

If you prefer to do everything on your own, here are the steps, the documents and the costs. Complete, step by step.

Step 1: Choose the company name

The company name must be unique nationwide. You can check availability on the ONRC portal.

What you need to know:

  • You can propose several names (3 options is recommended)
  • The ONRC approves or rejects the name depending on how similar it is to existing companies
  • Reserving a name is not mandatory, but it is recommended if you want a specific name

Step 2: Decide on the registered office

Every SRL needs a registered office: the official address of the company. It can be:

  • Your home address, with a free-use contract (comodat) and a copy of the sale and purchase contract of the property
  • A rented space, with a rental contract
  • A registered office at a lawyer’s firm: if you don’t have a location, a company setup service can help you

The registered office address is usually not that important. Most activities take place online, and ANAF services are digital too. But if the activity takes place at the registered office itself, you also need the consent of your neighbours and of the homeowners’ association.

Step 3: Choose the CAEN codes

CAEN codes (activity codes) define the activities your company can carry out. You must choose:

  • One main CAEN code: your core activity
  • Secondary CAEN codes: other activities you might carry out (you can add several, at no extra cost)

You can find the complete list on caen.ro. If you are not sure which code fits, an accountant can help you.

Step 4: Set the share capital

From 2026, the minimum share capital for an SRL is 500 RON. It must be paid in full when the company is set up, into a temporary bank account opened in the name of the company being set up.

After registration, the money can be withdrawn and used in the company’s activity.

Important: Companies with net income above 400,000 RON must increase the share capital to 5,000 RON (deadline: 2 years from the law entering into force).

Step 5: Prepare the articles of association

The articles of association are the document that defines the company: name, registered office, object of activity, shareholders, share capital, administrator.

What it contains:

  • The shareholders’ details (personal numeric code (CNP), address, ID card)
  • The company name and registered office
  • The CAEN codes (main + secondary)
  • The share capital and the split of shares
  • The appointed administrator (company manager)

If you work with a company setup service, they prepare the articles of association for you. You only sign the documents once they are completed. Their team handles the rest.

Step 6: Submit the file to the Trade Register (ONRC)

The complete file is submitted to the ONRC, either in person at the counter or online. If you work with a company setup service, they submit the file for you.

The file contains:

  • Registration application
  • The articles of association
  • Copy of ID card / passport / residence permit
  • Proof of the registered office (free-use or rental contract + copy of the sale and purchase contract of the property)
  • Proof of payment of the share capital
  • Sworn statement (on the operating conditions)
  • Specimen signature of the administrator

If documents are incomplete or clarifications are needed, the legal team comes back to you by email.

Step 7: Choose the tax options

When the company is set up, you must choose:

  • Tax regime: micro-enterprise or profit tax
  • VAT: with or without VAT registration
  • Employees: whether you have at least one employee at the start

If you don’t know which options to choose, an accountant can guide you.

Step 8: Receive the company documents

After the file is processed, the ONRC issues the certificate of registration with the company’s CUI (tax identification code). You can receive the documents:

  • By email, in electronic format
  • By post, in paper format

Deadline: up to 10 working days from the moment the file is complete and correct.

At Step 7 you must choose the tax regime. In short:

Micro-enterprise (income tax)

  • Tax of 1% of turnover (single rate from 2026)
  • Conditions: income under 100,000 EUR, at least 1 employee
  • Shareholders with more than 25% in several companies can keep the micro-enterprise regime for only one company
  • Simpler to manage, and advantageous if you have a high profit margin

Profit tax (16%)

  • Tax of 16% of profit (income minus expenses)
  • Mandatory if you go over 100,000 EUR turnover
  • Advantageous if you have high expenses (low margin)

What you do after the company is registered

You need three things: a dedicated bank account, an accountant and an invoicing program.

  • Bank account: you open it with the certificate of registration and the articles of association
  • Accountant: mandatory for an SRL, even if you have no activity at the start
  • Invoicing: you need a system integrated with RO e-Factura

eConta clients get all three from day one: a dedicated CECCAR-certified accountant, invoicing with e-Factura included and access to the platform. See what the subscription includes.

Frequently asked questions about setting up an SRL

Can I set up an SRL completely online?

Yes. The file can be submitted through the ONRC portal. If you work with a company setup service, no trip is needed.

Do I need a notary?

Only for the administrator’s specimen signature, or if the articles of association provide for a contribution in kind. Otherwise it is not mandatory.

Can I be both shareholder and administrator?

Yes. You can be the sole shareholder and administrator of your own SRL.

What happens to the share capital after the company is set up?

The share capital (minimum 500 RON from 2026) is paid into a temporary bank account. After registration, the money is transferred to the company’s current account and can be used in the activity.

SRL or PFA: which do I choose?

It depends on the activity, the estimated income and the growth plans. In short: a PFA (authorised natural person) is simpler and cheaper at the start, while an SRL offers legal protection and credibility. Compare with our calculator.
