From SRL to PFA in Romania: when it pays off and how to close the SRL

In 2026 it is not worth it for everyone. We show you with your own figures whether a PFA (authorised natural person) leaves you more money, and the legal part of closing your limited liability company (SRL) is free when eConta keeps the PFA accounts.

Is it worth moving to a PFA?in short
Worth it

In short · updated October 2026

Moving from an SRL to a PFA, in short

  • There is no direct conversion: you close the SRL through simultaneous dissolution and liquidation, and open a PFA. The PFA can start first, so you invoice without a break.
  • Not worth it for everyone: between ~100,000 and ~400,000 RON a year, a micro-enterprise SRL with a minimum-wage salary usually leaves you more. Check your figures in the SRL vs PFA calculator.
  • Duration: usually 2–4 months, if the company has no debts. Start by September, so you finish in the same year.
  • Cost: the legal service for closing the SRL is free when eConta keeps the PFA accounts; you pay the state fees. PFA accounting: from 39 €/month.

Is it worth moving from an SRL to a PFA?

From a strictly tax point of view, a PFA does not always beat an SRL. The move pays off in a few clear situations. Otherwise, keep the SRL.

Worth it
  • You earn under ~100,000 RON a year and keep a minimum-wage salary just to stay a micro-enterprise. The salary eats almost everything, and losses reduce the company’s net assets.
  • Your SRL has no employee and already pays profit tax. Over ~125,000 RON a year, a PFA leaves you more and you take the money directly, without dividends.
  • The company has losses and loans from you and its net assets are below half of its share capital. From 2027, ANAF (National Agency for Fiscal Administration) checks this, with fines of 10,000–200,000 RON. Closing can cost less than complying. Check your net assets
Not worth it
  • You have employees or will have: a PFA can have at most 3.
  • Your activity carries liability risk (construction, manufacturing, large penalties): in a PFA you are liable with your own assets.
  • You are a micro-enterprise with an employee and earn ~100,000–400,000 RON a year: the SRL usually leaves you a few thousand RON more.
  • You reinvest the profit or want to bring in shareholders or sell the business.
  • Your clients ask for an SRL (contracts with large companies, tenders, loans, EU funds).
  • You have one client and fixed hours: your income may be reclassified as salary.

What you keep: SRL or PFA

Three profiles, over a full year. What reaches you after all taxes: in an SRL, net salary and net dividends; in a PFA, income after income tax, social security contribution (CAS) and health insurance contribution (CASS).

Consultant with ~5,000 RON/month

SRL micro-enterprise + minimum wage
33,400 RON
SRL without employee
35,700 RON
PFA, real income system
32,800 RON

The differences are a few thousand RON, and in a PFA the CAS goes towards your pension. The real gain of a PFA is different: no compulsory salary, no annual financial statements, no worry about net assets.

Developer with ~12,500 RON/month

SRL micro-enterprise + minimum wage
103,400 RON
SRL without employee
91,900 RON
PFA, real income system
94,800 RON

Micro-enterprise with an employee? Stay with the SRL: ~8,600 RON more a year. SRL without an employee? The PFA leaves you ~2,900 RON more.

Specialist with ~25,000 RON/month

SRL micro-enterprise + minimum wage
223,300 RON
SRL without employee
197,700 RON
PFA, real income system
216,500 RON

A micro-enterprise with an employee stays ahead by ~6,800 RON. Compared with an SRL without an employee, the PFA brings ~18,800 RON a year.

Net per year, rounded to hundreds of RON. 2026 rules, services, one person, no VAT, with 6,000 RON expenses a year. In a PFA, the extra CAS you pay means a higher pension.

What nobody tells you about the move

The details that change the amount you keep. Your accountant checks them on your company before you start.

  1. CASS has a yearly ceiling. If you take dividends this year and the rest of the money at closing next year, you can hit the ceiling twice. Bring them into the same year.
  2. The 31 December calendar. If the company is still in liquidation on 31 December, from January it is no longer a micro-enterprise. The procedure takes 2–4 months: start by September.
  3. Do not end the administrator’s contract too early. Without an employee, a micro-enterprise moves to profit tax from the next quarter. The contract ends in the quarter in which the liquidation ends.
  4. In a PFA, the thresholds are steps. With 1,000 RON of net income above ~48,600 RON a year, you can end up with ~10,000 RON less in hand, because of CAS. Expenses at the end of the year matter.
  5. A new PFA starts without VAT below 395,000 RON a year. If the SRL was VAT-registered, for clients who are private individuals you no longer add 21% to the price.
  6. Order matters. Open the PFA before you dissolve the SRL and move your clients early: after dissolution, the SRL can no longer carry out new activity.

How the SRL is closed: simultaneous dissolution and liquidation

For a service company without debts, the usual route is simultaneous dissolution and liquidation, without a liquidator. The legal part — the dissolution and liquidation resolution and the filings with the Trade Register (ONRC) — is done by a lawyer. The accounting and tax part stays with your eConta accountant.

  1. Your accountant Checks the company ANAF record, returns up to date, net assets, and the money and assets that stay in the company.
  2. You and your accountant Start the PFA and move your clients The PFA runs in parallel with the SRL. New contracts go to the PFA, the last invoices go out from the SRL.
  3. A lawyer Simultaneous dissolution and liquidation The shareholders’ resolution is filed with the Trade Register and published in the Official Gazette.
  4. Your accountant Liquidation After the 30-day opposition period: the liquidation balance sheet to ANAF, tax on liquidation income, final returns.
  5. A lawyer Deregistration The deregistration request to the Trade Register, with proof that the liquidation tax is paid.
  6. Your accountant After deregistration The tax registration is cancelled within 30 days. In May, the Single Tax Return (Form 212) for the money received from the company.

The timing of the closing matters

Radu, your AI CFO, works on your company’s data. You ask which option leaves you more money and you get an estimate with your own figures, which you then check with your accountant.

“If I close the SRL in November instead of March, how much do I keep?”

About 9,700 RON more if you close in March, plus one fewer set of annual financial statements. The difference comes from CASS and the 31 December calendar.

What it costs to close an SRL

Questions about moving from an SRL to a PFA

Can I convert my SRL directly into a PFA?

No. The law has no direct conversion from an SRL into a PFA. You close the SRL through dissolution and liquidation and open a PFA. You can do both in parallel, so you invoice without a break. The steps are higher up on the page.

Can I have an SRL and a PFA at the same time?

Yes. You can open the PFA before you close the SRL and move your clients gradually. Your accountant tells you what to invoice from each while both are running.

How long does it take to close an SRL?

With simultaneous dissolution and liquidation, usually 2–4 months, if the company has no debts. This includes the 30 days after publication in the Official Gazette, during which creditors can object. With a liquidator, the procedure can take up to a year.

Can I close the SRL if I have debts?

The simultaneous procedure requires the debts to be paid beforehand or the creditors to agree. If ANAF objects because of debts, the file goes to court and the closing takes months longer. This is why your accountant checks the ANAF record before you start. Otherwise, the company is closed with a liquidator.

What happens to the money and assets in the company?

At liquidation they are shared among the shareholders. You get the share capital back tax-free; only what you receive above it is taxed. Assets are taken at market value. Losses from past years stay with the SRL and do not move to the PFA.

What tax do I pay at liquidation?

On what you receive above the share capital, you pay tax on liquidation income, which the company withholds and pays before deregistration. If the money you receive from the company in a year passes the CASS thresholds, you also declare CASS in the Single Tax Return. Your accountant works out the amount on the company’s figures.

What do I do with the company’s car or laptop?

You can sell them before closing, or take them at liquidation, at market value, as part of the money you receive from the company. If the company deducted VAT when it bought them, VAT is paid at liquidation. Your accountant tells you which option costs you less.

Is a PFA worth it after the dividend tax rose to 16%?

Not automatically. With a micro-enterprise SRL with a minimum-wage salary, between ~100,000 and ~400,000 RON a year, the SRL usually leaves you more. Compared with an SRL without an employee, the PFA wins above ~125,000 RON a year. Check your figures in the SRL vs PFA calculator.
